THESE TERMS AND CONDITIONS (the Terms and Conditions) govern the use of Humanis Learning Space LLC’s website, www.humanislearningspace.com (the Website). The Terms and Conditions shall govern the use of the Website. By using the Website, User (as further defined below) acknowledges he or she has read and understand the following Terms and Conditions, and hereby agree to be bound by the following:

GENERAL: The Website is provided by Humanis Learning Space LLC, a Texas limited liability company (the Humanis Learning Space), to Users seeking educational tutoring (the Students), and Users seeking to provide educational tutoring (the Tutors), and any other individual accepting these Terms and Conditions on behalf of the Users. The term User or Users herein refers to any individual or entity using the Website, specifically including the Students and Tutors, by viewing, accessing, browsing content on, creating, uploading, posting, sending, receiving, and/or storing content, or in any other way using the Website. User accepts these Terms and Conditions by using (1) the Website, (2) registering as a Tutor, (3) contracting tutoring lessons through the Website, or (4) using the Website in any other manner, and in so doing acknowledges agreement with the Terms and Conditions contained herein, by which they are bound. If User does not agree to these Terms and Conditions, such User shall refrain from using the Website.
These Terms and Conditions shall govern to the extent of any conflict or inconsistency with anything on or associated with the Website. Any express waiver or failure to comply with any right under the Terms and Conditions will not create a continuing waiver or any expectation of non-enforcement.
It is important to carefully read these Terms and Conditions to understand the provisions contained herein. These Terms and Conditions contain a mandatory individual arbitration and class action/jury trail waiver provision that requires arbitration on an individual basis to resolve disputes, rather than jury trails or class actions.
WEBSITE SERVICES: The Website functions as a directory, access point, and marketplace connecting students seeking tutoring services with tutors who offer their services as independent businesses. The Website does not oversee or govern the content of the tutoring sessions, nor does the Humanis Learning Space provide any warranty as to the content of such sessions. The Humanis Learning Space’s services are limited to that of hosting the Website and providing an opportunity for Users to use the interface and connect and contract with one another. Tutors have full responsibility for their tutoring sessions, including methods, materials, scheduling, timing and duration, and all other aspects. It is the Student’s responsibility to choose the most suitable Tutor, based on factors determined to be important in the sole discretion of the Student. If a Student is under 18 years old, the Student’s legal guardian or other responsible adult should supervise each tutoring session the Student engages in.
Humanis Learning Space operates the Website from its headquarters in the State of Texas, but may at any time operate the Website from other locations throughout the United States, but it cannot guarantee accessibility in all areas or uniform availability of services. In order to use the Website, you must have access to the internet and be willing to pay any associated costs.
If a User is under 18 years old, the User must obtain the consent of a parent, legal guardian, or school before using the Website. If a User is using the Website to provide services to Students in a school, the User must be an authorized representative of the school with the power to enter into agreements on its behalf. If you contact Humanis Learning Space regarding an account, you must have the necessary authority to do so.
Finally, if you are a school using Humanis Learning Space to provide services to children under 13, you must obtain verifiable parental consent in accordance with the U.S. Children’s Online Privacy and Protection Act (COPPA). It is recommended that schools disclose their use of service providers such as Humanis Learning Space to parents and provide them with a copy of the Privacy Policy.
TERMS OF TRANSACTING BUSINESS: Users are required to comply with Humanis Learning Space’s policies for payments made by Tutors and Students. All fees related to the services provided through Humanis Learning Space, including but not limited to the Tutor’s hourly rate, travel expenses, cancellation fees based on the Tutor’s cancellation policy stated on their profile on the Website, service fee, and the Platform Fee agreed upon by the Tutor and Humanis Learning Space, must be paid by the Users.
CONDUCT OF USERS: In order to use Humanis Learning Space’s services, all Users must meet certain criteria. Each User must be of legal age and have the capacity to agree to the Terms and Conditions, either on their own behalf or on behalf of a minor who will be receiving tutoring services through the Website. Users must provide accurate and complete information during registration. It is the responsibility of the User to keep their information up to date and to ensure the security of any personal information provided, as well as any password or identification information used to access the Website. Users inherently accept all risks of unauthorized access to information and registration data, and neither the Humanis Learning Space nor the Website shall be held liable for any unauthorized access to such information. Each User must be located within and reside within the United States.
Once registered, Users are responsible for maintaining the confidentiality of the above and for all activities that occur under their password or account. Humanis Learning Space shall not be held liable for any unauthorized access to a User’s account or data that arises from the User’s failure to maintain the privacy and security of their account, nor for their actions, inactions, errors or omissions that lead to any authorized access or loss of security of the information provided.
Users must use the Website in a manner that is lawful. Humanis Learning Space reserves the right to determine any inappropriate or offensive use of the Website, and any such use may result in the suspension or termination of the User’s account with or without notice. Users are prohibited from engaging in a number of activities, including but not limited to using the site for illegal purposes, creating fraudulent accounts, harassing others, creating or sharing false, misleading, or unlawful content, uploading content that violates the rights of third parties, attempting to gain unauthorized access to the Website or other Users’ accounts, or spamming.
Users are prohibited from uploading files that contain viruses of any kind, or uploading any content, program, software, or other media that damages, impairs, disables, or interferes with any device, system, computer, or computer network.
Users may not, at any time, attempt to gain unauthorized access to the Website, other Users’ accounts, or other device, computer system or networks connected to the Website, and further Users may not intentionally restrict or inhibit any other User from legitimate use or enjoyment of the Website.
Humanis Learning Space reserves the right to remove any content at its discretion, and Users may report alleged instances of inappropriate or objectionable content to Humanis Learning Space by email.
SCHOOL ACCOUNTS AND STUDENT DATA ON WEBSITE: This paragraph concerns the use of Humanis Learning Space services by schools and the collection of Student data. When a school uses Humanis Learning Space for educational purposes, Humanis Learning Space may collect or have access to Student data provided by the school or a Student. Student data is defined as personal information directly related to an identifiable Student and may include educational records as defined by FERPA. The school or Student, and not Humanis Learning Space, owns and controls the Student data, but Humanis Learning Space is authorized to access, collect, transmit, modify, display, and store it to provide the service and as described in the agreement and privacy policy. All parties agree to comply with FERPA, COPPA, PPRA, applicable state laws relating to Student data privacy, and all other laws and regulations governing the protection of Student data. Humanis Learning Space may use the Student data for purposes such as providing the service, improving and developing the service, enforcing its rights, and with the school or User’s consent. Humanis Learning Space may also collect, analyze, use, and retain de-identified or anonymized Student data for purposes such as operating, analyzing, improving or marketing the service, developing new products or services, and conducting research. However, Humanis Learning Space shall not use Student data for targeted advertising. Humanis Learning Space may provide access to Student data to employees and service providers with a legitimate need to access such information. The Humanis Learning Space has implemented safeguards to secure personal information in its possession from unauthorized access, disclosure, and use. If a security event occurs, Humanis Learning Space will notify the school promptly, and the school will be responsible for complying with any legally-required notice. Humanis Learning Space will indemnify the school for reasonable costs related to legally-required notifications resulting from security events caused by its acts or omissions.
In addition to the terms above, additional terms and conditions may apply relative to the Student, Student data, Tutor, or school, dependent on the state in which the school is located, and all Users should be familiar with any such additional terms and conditions that apply to them or to their school.
ACADEMIC HONESTY: Humanis Learning Space offers its services with the objective of supporting learning and not promoting or enabling any form of academic deceitfulness. It is prohibited to use the Website to request, engage in, or assist others with academic dishonesty, such as writing papers or essays, completing assignments or projects, or taking quizzes or exams on someone’s behalf. The Website, its resources, and any interactions between Students and Tutors, or any other Users, are intended solely to facilitate instruction, learning, and improvement of the Student. Tutors explicitly agree that they shall not complete any school work for or on behalf of Students. Additionally, taking any action that contravenes the academic or conduct policies of a school, university, academic institution, or workplace is not permitted.
THIRD PARTY REPORTS AND LIMITATION OF LIABILITY: Humanis Learning Space has the authority to use third-party agencies to conduct criminal background checks, credit checks, motor vehicle records checks, identification verification, and sex offender registry checks. These agencies generate consumer reports that Humanis Learning Space may collect, use and disclose, but Humanis Learning Space does not guarantee the accuracy, reliability, timeliness or completeness of the information provided in these reports. Although Humanis Learning Space can rely on the information in the consumer reports to investigate complaints or decide whether to terminate a Tutor, it is not responsible for any inaccuracies or errors in the reports. Tutors who are the subject of consumer reports may dispute the information by contacting the service provider. Humanis Learning Space may also provide third-party verification services to allow Users to inquire about another User’s identity and criminal history, but use of this service is voluntary and subject to the Fair Credit Reporting Act. Humanis Learning Space reserves the right to suspend or terminate a Tutor based on the information in the consumer reports or for any other reason it deems appropriate.
PRIVACY POLICY: To learn about how Humanis Learning Space handles your personal information, please consult the Website’s Privacy Policy located on its website, which is available at www.humanislearningspace.com/privacypolicy. Regarding Student Data, Humanis Learning Space’s tutoring services may be contracted by educational providers, such as schools or teachers, for educational purposes. In these cases, Humanis Learning Space may obtain access to Student data, either provided by the school or by the Student, which is treated as strictly confidential and used solely to enhance and provide tutoring services to the School or on its behalf. The handling of Student data by Humanis Learning Space is governed by these Terms and Conditions and applicable laws and regulations. Tutors working with Schools are obligated to comply with these Terms and Conditions and the privacy provisions concerning Student data and maintain the confidentiality of the information.
USER CONTENT: User bears full responsibility for any content that the User produces while using the Website and in any manner displays or submits through the Website. Humanis Learning Space may allow Users to submit, post, or otherwise offer content, including but not limited to text, videos, pictures, images, documents, comments, questions, and other materials or information (this content is known as “User Content”). Humanis Learning Space does not claim ownership of the User Content that the User creates.
By submitting, posting, or otherwise making available any User Content on or through the Website, User explicitly grants Humanis Learning Space a worldwide, royalty-free, transferable, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and create derivative works from all such User Content, in whole or in part, in any form, media, or technology, whether now known or developed in the future. This license is for use in connection with Humanis Learning Space’s business, including promoting and redistributing part or all of the Website (and derivative works thereof) in any media formats and through any media channels. User also grants each Website User a non-exclusive license to access and use your User Content.
The User is responsible for ensuring that the User has the legal right to submit User Content to the Website. User may only post User Content for which the User has permission from the owner or by law, and further User may not upload or post any User Content that infringes on the intellectual property rights of a third party, or that violates any third party’s privacy or publicity rights, as further provided below.
Users are prohibited from creating, uploading, posting, sending, receiving, or storing User Content that is obscene, pornographic, defamatory, racist, violent, offensive, harassing, inconsistent with the Humanis Learning Space’s mission, or otherwise objectionable to Humanis Learning Space or other users. Humanis Learning Space reserves the right to edit or remove User Content that violates these Terms and Conditions, that contains third-party commercial advertisements, or for any other reason it deems necessary.
HUMANIS LEARNING SPACE CONTENT: The Website provides you with access to confidential information of Humanis Learning Space, including, but not limited to, technical, contractual, product, program, marketing, and other valuable information that should be considered confidential (“Confidential Information”). You are required to keep this information confidential. All ownership and rights of the Confidential Information belong to Humanis Learning Space. The scope of this section applies to Confidential Information that you obtained through the use of the Website, and does not extend to nor impose an obligation on you with regard to Confidential Information that you previously had possession of, is or becomes generally known to the public through no action or omission by you and without violating these Terms, or that was developed by you independently, without the use of Confidential Information, and without the participation of any other User or individual who had access to the Confidential Information. Further, the scope of this section does not impact information that you disclose in response to a valid court order or other governmental body or as required by law, or to establish the rights of either party under these Terms and Conditions.
INTELLECTUAL PROPERTY RIGHTS: Humanis Learning Space permits you to use the Website solely for personal purposes, subject to these Terms and Conditions and provided that you do not remove any copyright, trademark, or other notice. Users may not use any of the content or material on the Website for any other purpose whatsoever. Humanis Learning Space reserves the right to take legal action against anyone who violates this provision. You may not link directly to any pages of the Website on any external site or media without Humanis Learning Space’s prior written consent.
You agree not to use, reproduce, or redistribute any content on the Website that belongs to Humanis Learning Space or its content providers, except as expressly authorized in writing by Humanis Learning Space or the content providers. You may not remove, alter or modify any copyright or trademark notice or other notice of ownership.
These Terms and Conditions shall not grant you any implied or direct license to intellectual property rights except as explicitly stated herein or separately agreed to in writing by the Humanis Learning Space.
COPYRIGHT INFRINGEMENT: Humanis Learning Space expects its Users to respect the intellectual property of others and refrain from posting, modifying, distributing, or reproducing copyrighted material without the owner’s prior written consent. If Humanis Learning Space suspects that any content on the site infringes on someone else’s copyright, it may remove it and terminate the User’s account.
If you believe that your work has been copied and used in a way that violates your copyright, you can file a complaint with Humanis Learning Space. Your complaint must include specific information such as identification of the copyrighted material, the location of the infringing content on the Website, and a statement that you have a good faith belief that the use of the content is not authorized by the copyright owner. If you are falsely accused of copyright infringement, you may submit a counter-notice.
Please note that knowingly making a false claim of infringement is a criminal offense that may result in legal penalties. While Humanis Learning Space has adopted a policy of terminating repeat infringers and may limit access to the site, the information provided is not legal advice, and it may be wise to consult with an attorney.
ADVERTISEMENTS ON WEBSITE AND CONTENT VIA LINKS: If Users engage with third-party advertisements and promotions that may appear on the Humanis Learning Space website, such as by making payments or receiving goods or services, you do so at your own risk. Humanis Learning Space offers no representations, warranties, or guarantees relating to any third-party advertising or offering a promotion on the Website. These dealings are solely between you and the third-party advertiser, and Humanis Learning Space is not responsible for any losses or damages that may arise from such interactions or from the presence of non-Humanis Learning Space advertisers on the Website. Any terms, conditions, warranties or representations associated with these dealings are solely the responsibility of the third-party advertiser.
While using the Website, you may come across links to other websites or resources, and in such interactions with any such links User agrees that Humanis Learning Space is not accountable for these external websites or resources in any way and does not support or hold responsibility for any content, advertisements, products, or other materials available on or from such websites or resources. Any damage or loss resulting from the use of or reliance on any content, goods, or services available on or through any such site or resource will not be Humanis Learning Space’s direct or indirect liability.
TERMINATION AND SUSPENSION: Humanis Learning Space has the right to modify or temporarily discontinue the Service or any part of it at any time with or without notice. You acknowledge that Humanis Learning Space will not be responsible to you or any third party for any changes, suspension, or temporary discontinuation of the Service.
In its sole discretion, Humanis Learning Space can suspend or terminate your password, account, or use of the Service for any reason, including lack of use or violation of these Terms and Conditions. You agree that any termination of your access to the Service may be made without notice, and you acknowledge that Humanis Learning Space can immediately deactivate or delete your account, remove all data associated with your account, and/or restrict your future access to the Service. You also agree that Humanis Learning Space will not be liable to you or any third party for any termination of your access to the Service.
DISCLAIMER OF WARRANTIES: You agree that your use of the Website is solely at your own risk unless otherwise explicitly stated. The Website, including its information, services, and content, is provided on an “as is,” “as available,” and “with all faults” basis. Humanis Learning Space disclaims all express or implied conditions, representations, and warranties of any kind, including any implied warranty or condition of merchantability, satisfactory quality, or fitness for a particular purpose. Additionally, Humanis Learning Space makes no representations, warranties, conditions, or guarantees regarding the usefulness, quality, suitability, truth, accuracy, or completeness of the Website.
Humanis Learning Space makes no warranty or representations that: (1) the Website will be uninterrupted, timely, secure, or error-free; (2) the results obtained from the use of the Website will be accurate or reliable; (3) the quality of any products, services, content, information, or other material purchased or obtained from tutors will meet your expectations or requirements; (4) any errors in the Website will be corrected; (5) the Services are appropriate for use or access outside of the United States.
You assume all risk for any damage to your computer system or device or loss of data that results from obtaining any content from the Website, including any damages resulting from computer viruses.
LIMITATION OF LIABILITY: The Website functions as a marketplace connecting people seeking tutoring services with those offering them. Unless explicitly stated, you bear the sole risk for using the Website, which is provided on an “as is,” “as available,” and “with all faults” basis, including information, services, and content. Therefore, Humanis Learning Space renounces all express or implied conditions, representations, and warranties of any kind, including any implied warranty of merchantability, satisfactory quality, or fitness for a particular purpose. Moreover, Humanis Learning Space does not represent, warrant, condition, or guarantee the usefulness, quality, suitability, truth, accuracy, or completeness of the Website.
Humanis Learning Space has no control over the acts or omissions of any User on or off the Website, and Humanis Learning makes no representations or warranties about the quality of services provided by any User. Humanis Learning Space is not responsible for the performance or conduct of any user, on or off the Website, and thus, Humanis Learning Space expressly disclaims, and each User releases Humanis Learning Space from, any and all liability whatsoever for any controversies, claims, suits, injuries, and/or damages arising from and/or related to the Website, including any acts and/or omissions of Users on or off the Website.
Users of the Website transact between themselves, and Humanis Learning Space will not be involved in any User interactions. Humanis Learning Space is not responsible for any disputes, claims, loss, injury, or damage of any kind that might arise during and after User interaction.
To the extent permitted by law, Humanis Learning Space is not liable for any direct, indirect, punitive, special, incidental, consequential, or exemplary damages arising out of or in connection with the Website, even if Humanis Learning Space has previously been advised of, or reasonably could have foreseen, the possibility of such damages. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy. However, because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to you. Humanis Learning Space’s total liability to you for all damages, losses, and causes of action, whether in contract, tort (including but not limited to, negligence), or otherwise, shall not exceed the amount paid by you to Humanis Learning Space or a Humanis Learning Space partner, if any, or $100 (whichever is less).
You and Humanis Learning Space agree that the warranty disclaimers and limitations of liability in these terms are a material, bargained-for basis of this agreement and that they have been taken into account in determining the consideration to be given by each party under these Terms and Conditions and in the decision by each party to enter into these Terms and Conditions. You and Humanis Learning Space agree that the warranty disclaimers and limitations of liability in these Terms and Conditions are fair and reasonable.
If you are not satisfied with the Website or do not agree to any provisions of these Terms and Conditions, your sole and exclusive remedy is to discontinue using the Website, except as may be provided for in this Section.
ASSUMPTION OF RISK: When using the Website, Users are responsible for all risks associated with online or offline interactions with other Users. Users must take all necessary precautions and adhere to the safety tips recommended by Humanis Learning Space to ensure safe interactions with other Users.
ARBITRATION AND INJUNCTION: This section outlines the arbitration process for resolving disputes between you and Humanis Learning Space. If you have a dispute, you must first try to resolve it informally by contacting Humanis Learning Space directly. If the dispute cannot be resolved within 60 days, either party may initiate binding arbitration. The arbitration will take place in Harris County, Texas, unless the parties agree otherwise. The arbitrator’s award may include costs of arbitration, attorneys’ fees, and costs for expert witnesses. This Section does not prevent Humanis Learning Space from seeking injunctive relief in court for certain claims, nor does it prevent a User from suing in a court of competent jurisdiction.
Despite the provisions for arbitration stated in this agreement, Users acknowledge that a significant violation of the Terms and Conditions would cause Humanis Learning Space substantial harm, for which monetary compensation may be inadequate. As such, in addition to its legal rights and remedies, Humanis Learning Space retains the right to seek equitable relief through the court system, including injunctions or other similar remedies, in the event of such a breach. Users waive any obligation to post a bond or other security if Humanis Learning Space pursues such an injunction.
MODIFICATION, TERMINATION, AND AMENDMENT OF TERMS: Humanis Learning Space can notify Users of any updates, modifications, suspensions or terminations to the services through email, regular mail or by posting notices or links to the Website. Humanis Learning Space reserves the right to modify, suspend, or terminate services or access to them with or without notice and may delete or block access to related information and files. Users agree that Humanis Learning Space will not be held liable for any modification, suspension or termination of service or any loss of information resulting from these actions. Humanis Learning Space may revise these Terms and Conditions at any time by posting the updated terms and conditions on the Website, and Users’ continued use of the Website after an update constitutes acceptance of the revised Terms and Conditions. Users who do not agree with the terms and conditions should discontinue accessing or using the Website.
However, Humanis Learning Space cannot make any material changes to the Terms and Conditions regarding the collection or use of Student data without first notifying the school or parent and providing them with a choice before using the data in a materially different manner than was disclosed at the time of collection.
INDEMNIFICATION: Users are responsible for compensating, protecting, and not holding Humanis Learning Space and its affiliates liable for any claims, demands, losses, expenses, damages, and/or liabilities resulting from the following: (1) actions, inactions, errors or omissions on or off the Website; (2) infringement of intellectual property or other rights of any person or entity; (3) violation of these Terms and Conditions; (4) disputes with or between other Users; (5) misuse of the Website or any content, information, or materials thereon; (6) violation of any applicable laws or regulations; (7) provision of inaccurate, incomplete, untimely, or misleading User information; (8) misstatements and/or misrepresentations; (9) use of third-party websites, including their availability, terms of use, privacy policies, information, content, materials, advertising, products, and/or services; (9) User information and any acts or omissions with respect to such User information; (10) use of any information in third-party reports; (11) use of third-party payment processing services; (12) use of phone support services; and/or (13) use of any services or products or any contracts or arrangements made or provided based on information, content, and/or materials obtained on or through the Website. Users must assist Humanis Learning Space as requested in the defense of such claims. Humanis Learning Space has the right to control and assume exclusive defense of any matter subject to indemnification by Users, and Users cannot settle any claim or matter on behalf of Humanis Learning Space without written consent.
ENTIRE AGREEMENT: These Terms and Conditions constitute the entire understanding between the parties and govern your relationship with Humanis Learning Space and represent the complete understanding between you and Humanis Learning Space regarding their subject matter, replacing any previous versions of the Terms and Conditions. You are not allowed to transfer or assign the Terms and Conditions or any rights granted under it. In addition, you may be subject to additional terms and conditions that apply when you use the Humanis Learning Space Website or third-party products or services.
SEVERABILITY: Should any term and condition hereof be declared illegal or otherwise unenforceable, it shall be severed from the remainder of these Terms and Conditions without affecting the legality or enforceability of the remaining portions.
GOVERNING LAW:
The laws of the State of Texas shall govern and construe these Terms and Conditions. You agree to submit to the personal jurisdiction of the federal and state courts situated in Harris County, Texas, for any actions where Humanis Learning Space may seek relief to prevent the actual or threatened infringement, misappropriation or violation of copyrights, trademarks, trade secrets, patents, confidential information or other intellectual property or proprietary rights, as set forth in the Arbitration provision below, including any provisional relief required to prevent irreparable harm. If the arbitration provision is found to be unenforceable, you agree that Harris County, Texas, is the appropriate forum for any appeals of an arbitration award or for trial court proceedings.
